Kochi: The Institute of Directors will organise a three day week-end Training and Certification programme from Apr 5-7 in Kochi and May 17-19 at Kozhikode. Similar training programmes will also be held in New Delhi, Mumbai and Bangalore, a press release here said. MasterClass for Directors is a pre-eminent qualification for independent directorship in listed companies in public and private sectors in India. The programme is tuned to suit the vital needs of independent directors in the boardrooms as well as to update the skills and knowledge of Directors in companies. The Companies Bill 2012 passed by Lok Sabha on Dec 18, last year seeks to empower the Government to make it mandatory for companies to reserve at least 33 per cent for independent directors on their Boards. Hence, India would need over 40,000 Independent Directors once the new company law is in place. The law specifies at least one lady independent director on the board, making the need for 9000 lady directors. The government's idea is to eventually introduce the requirement through administrative orders when it is confident that unlisted public companies too could graduate to higher governance requirements. The company law, which has been cleared by Lok Sabha and awaits Rajya Sabha nod, defines independent directors differently from the way it has been defined by capital market regulator SEBI in the listing agreement that companies seeking to go public sign with stock exchanges. Intended for senior level officers and management & other professionals having minimum 5 years experience in their fields, the programme will be a learning experience on the roles and responsibilities of directorship.
