A company secretary is a key functionary of the Company who provides valuable advice, guidance and expertise in legal and secretarial matters to the top brass. He is the conduit between the organization, the Board of Directors, stakeholders, statutory bodies and other Government Departments. The Securities and Exchange Board of India (SEBI) rules and regulations require each and every Company incorporated with the Registrar of Companies, to appoint a Compliance Officer who is responsible for the legal and secretarial functions of the Company. The Company Secretary is normally the Compliance Officer of a Company.
